Prices
The seller retains the privilege to adjust prices accordingly should rising costs necessitate a price increase.
Quality Management System
A quality management system that adheres to ISO 9001:2015 standards or its equivalent is necessary.
Shipping
The seller will determine the shipping method unless otherwise instructed by the buyer.
Delivery
If not stated otherwise, delivery will be Ex.Work from our plant. While shipping dates are estimated, we endeavor to meet them. Nevertheless, we cannot be held accountable for delays in delivery due to circumstances beyond our control.
Cancellation
A purchase order constitutes a binding agreement between the buyer and the seller. As a result, the seller’s approval is necessary for any cancellation, modification, or reduction in the order quantity. The seller reserves the right to impose a cancellation fee at their discretion.
Patents
The purchaser bears responsibility for any costs or damages incurred due to patent or trademark infringement resulting from adherence to their provided designs, specifications, or instructions.
Limitation of Liability
If not explicitly agreed upon in written form, the seller shall not assume responsibility for incidental or consequential damages, contingent liabilities, or labor expenses resulting from any cause whatsoever, pertaining to either standard inventory parts or special parts provided. The seller’s accountability stemming from any product sale to the Purchaser is explicitly restricted to either:
- A refund equivalent to the purchase price paid by the purchaser for said products, or
- Repair and/or replacement of said products, as chosen by the seller, with these remedies being exclusive and substituting all others.
The buyer agrees to indemnify, defend, and absolve the seller from any claims made by third parties concerning products supplied by the seller and integrated into the buyer’s product or resold by the buyer.
Warranty
The buyer acknowledges that they have not depended on the expertise or judgment of the seller in providing goods for any specific purpose, and the seller does not guarantee that the goods provided are suitable for any particular purpose. Specifically, if the goods supplied are merely a part of a final product, the seller does not ensure that the finished goods will be suitable for that specific use.
Ownership of Goods
The seller retains ownership of the goods until payment is received. Any purchase order or order containing terms or conditions contradicting the above-stated policy will be deemed void by AIMERS METAL CRAFT.
